Nightly Vacation Rental Agreement

THE PARTIES. This Short-Term Rental Agreement (“Agreement”) made between the following:

Guest and Responsible Party: {{guest_name}} (“Guest”), and

Host: Sea Tropez LLC (“Host”) on behalf of the Owner(s)

THE PREMISES. The Host agrees to lease the described property below to the Guest, and the Guest agrees to rent from the Host:

Herein after known as the “Premises.

LEASE TERM. The Guest shall be allowed to occupy the Premises starting {{checkin_date}} from {{checkin_time}} and ending {{checkout_date}} at {{checkout_time}} (“Lease Term”). The property may not be inhabited or hold your personal property outside of the lease term. No early check-in or check-outs are permitted without written consent from {{host_name}}.. Any extensions of lease that allow early-check-in, check-out or extensions of days that are consented to by Host will fall under this agreement and not require an additional agreeement to be signed

Responsible Party As the renter, you are the responsible party for all occurrences on the property during your stay. Any violations of rental agreement, laws, or ordinances will be your responsibility. Additionally, any damage or losses on the property during your stay you will be deemed financially liable.

No Smoking. Smoking is not permitted. Renters who violate this policy will be charged an additional $1,000, plus the expense of any necessary cleaning. Violations may also result in immediate eviction and forfeiture of rent.

No Pets. Renters who violate this policy will be immediately evicted with forfeiture of all payments received and an additional $2,000 fee billed, plus the expense of any necessary cleaning.

Age Requirements. Host's vacation accommodations are family rentals absent exceptions being explicitly granted by Host. No units will be rented to vacationing students or young adults under the age of 25 unaccompanied by a responsible parent or guardian at a ratio of four (4) young adults to one (1) adult over the age of 25. A parent or guardian must be staying in the unit at all times. Renters who violate this policy are subject to immediate eviction and forfeiture of all rental payments. In accordance with Florida State Chapter, reservations made under false pretense are null and void and check-in will not be allowed, or Renters will be asked to vacate the accommodations. This policy includes reservations made by parents or guardians who do not check-in, and/or who leave overnight during the length of the stay.

Amenities. All amenities and property provided for use by condo associations or home owner associations are outside of the control and maintenance of both the Owner(s) and Host . As such, you agree that you will not hold the owner of the premises or Host liable for either lack of use of any amenities, for injuries sustained during their usage, or for any loss of property or life. You agree to fully hold harmless both the Owner(s) and Host in any law suits or claims involving the amenities and property provided by any Condo or Homeowner Association.

COVID. Host and Owner(s), cannot guarantee that you, your child(ren), family, or guests using the services of Sea Tropez LLC will not become infected with COVID-19 or ay other infectous disease . You are hereby put on notice regarding the contagious nature of COVID-19 or ay other infectous disease and by utilizing the rental facilities, you voluntarily assume the risk that you may be exposed to or infected by COVID-19 or any other infectous disease and that such exposure or infection may result in personal injury, illness, permanent disability, and death. The Center for Disease Control (CDC) has promulgated recommendations to reduce the spread of viruses and infectious diseases. The Host requests all visitors to abide by these CDC recommendations. By using the amenities or entering the rented property, including but not limited to the elevator, pool, pool bathrooms, grill area or any facilities through your rental you agree to assume all of the foregoing risks and accept sole responsibility for any injury (including, but not limited to, personal injury, disability, and death), illness, damage, loss, claim, liability, or expense, of any kind, that you may experience / incur inconnection with their use.

Maximum Occupancy. The maximum number of sleeping occupancy per accommodation is based on the individual accommodation’s ability to comfortable and safely house our renters and their guests. If the maximum occupancy is exceeded, you may be asked to vacate the property and forfeit any rental payments. Exceptions must be preapproved in writing 30 days prior of reservation. The maximum overnight occupancy permitted at this unit is 7.

Damage Policy. Renters are responsible for the property, its contents, and themselves during occupancy. Renters must lock windows and doors securely when not on the premises. Rearranging the furniture or removing any items from the unit is prohibited. After Check-Out, the Host will inspect the unit for damage, missing items, and abnormally dirty appearance. During that inspection, if the Host determines that damage is present, items are missing, or the unit is abnormally dirty, the Host will repair the damage, replace the missing items,and/or perform a deep clean of the unit at renter’s expense. Renter authorizes Host to charge the credit card on file to reimburse the Host or Owner(s) for any such expenses.

Property or Insurance Fee. A Property or Insurance Damage Waiver Fee of $79 is charged at the time of your booking. This fee will cover the first $1000 in expenses for damage incurred in the rented unit during your stay. The $1000 will be limited to labor and materials of physical damage. This will not cover any fines or fees given by any governing authority such as HOAs, city, county, state or federal officials. It will also not cover any expenses related to extra cleaning of the unit due to abnormal dirtiness, unallowed smoking or unallowed pets. Nor will it cover the cost of lost wrist bands or passes. It will also not cover any damage to common areas of a condo building outside of the management Host. It is explicitly for physical damage or losses of the rented property and the personal property in the unit (i.e. TVs, furniture, kitchen applianes, dishes and bedding) This is a non-refundable,non-negotiable $79 fee.

Advance Payment. An advance payment equal to 50% of the total booking charges are due at the time of reservation and the other 50% is due 60 days before check-in or at the time of resevation, whichever is later .

Cancellations. Reservations may be canceled for a refund by notifying the Host in writing at least sixty (60) days prior to your Check-In date (“Cancellation Period”). In such instances where the cancelation is requested at least sixty (60) days prior, a refund of 97% of the total reservation will be issued. The 3% kept by Host will cover our credit card processing fees.If VRBO or Airbnb stated cancellation terms are more lenient, then their terms will apply that were on the reservation.

Hurricanes and Severe Weather. Refunds for cancellations or shortened stays due to actual or anticipated hurricanes, tropical storms or other inclement weather will not be issued by Host under any circumstances.

Accommodation Selections. Host appreciates that it's luxury accommodations offer different appointments, designs, and layouts, and that reservation holders want the peace of mind that they will stay in the specific units they selected. Accordingly, we will reserve for you the specific unit selected at the time of your reservation upon the receipt of your deposit and signed Agreement. Subject to availability for maintenance, owner usage, or other issues that may render the accommodations unsuitable for rental, and/or subject to the property remaining as Host's accommodation at the time of the stay, guests will be placed in the specific unit set forth in their Agreement, or otherwise provided with a full refund or an opportunity to stay in an equivalently priced accommodation if available. Not with standing Host’s efforts, if the specific unit reserved is unavailable for any reason, guests will be limited to a full refund or similar accommodation at their election. In no event will Host be responsible for any direct or indirect costs, expenses, fees or other consequential damages resulting from the unavailability of a specific accommodation.

Cleaning. A cleaning fee will be added to all reservations, regardless of the number of nights booked. The fee is unit specific and given in your stay’s invoice. It is applied toward cleaning services, during stay management costs, laundry, and start-up amenity costs. Guest vacation accommodations will be cleaned to our quality standards prior to arrival and after departure. You will be responsible for the cleaning of your unit during your stay and for leaving the unit in good condition at check-out. We respectfully request that you remember that you are staying in someone’s home during your vacation; please treat it with the care you would your own. If units are found abnormally dirty at check-out, additional charges will be charged to your credit card to assist in performing a deep cleaning of the unit.

Beach & Pool Towels. Please bring beach and/or pool towels as we do not permit bath towels or linens to be taken from the unit.

Pool Heating. Condo building and HOA pools are heated at the discretion of the Condo Owners Association or Home Owners Association. Temperature of the pool is not guaranteed and Host does not have control over the heating of these pools. Additionally, Host and Owner(s) do not have control over the maintenance of this amenity and can not be held liable for the lack of the amenity for any reason to include but not be limited to maintenance issues, damage to, weather issues, or remodeling of this amenity.

Maintenance. During your stay, promptly report any maintenance problems to the Host. No refund or rate adjustment will be made for unforeseen failures such as the supply of electricity, water, pool filtration systems, air conditioning, telephone, television or cable service,appliances, etc. Additionally you will need to allow maintenance and cleaning in to the unit if an issue exists or there is a scheduled service appointment. Notification will be given to you before their arrival.

Nearby Construction. There may be construction on going at properties adjacent to or close by the property being rented by guests. Additionally, there may be construction going on in the neighborhood or condo building that limits the use of certain amenities such as access to parking, beach, pool, fitness room or any other amenity or structure that is not under the management of Host. The rules regarding acceptable noise levels, start and finishing times, and other restrictions relating to any such construction are governed by local ordinances and/or community-specific rules and regulations beyond the control of the Host. As such, the guest shall not be entitled to a refund relating to such construction or lack of access. Not withstanding this, the Host will use its best efforts to ensure that the appropriate parties are notified and appropriate remedial action taken in the event that it receives notice that the construction at issue may be in violation of any such regulations or ordinances. Security of Personal Property. The Host or Owner(s) are not responsible for any acts of theft or vandalism, or other damages to any personal property or for personal items left by guest in the accommodation.

No Subletting. The rental property may not be sublet. Your reservation is not transferable to any other party.

Firearms, Weapons, and Ammunition Policy. Because of the risk of firearms being left behind, which poses an unacceptable risk for employees, vendors, and future guests, Host prohibits persons from carrying or otherwise possessing firearms, ammunition, or weapons at any of the Host's managed properties, including carrying firearms in an open or concealed manner. This policy applies to all firearms, including airsoft and bb guns. Guests who fail to abide by this policy will be immediately evicted and forfeit any remaining pre-paid rents.

Property Rules and Regulations. Condos and some houses are controlled and regulated by Condo Associations and/ or Home Owners Associations. The Condo Associations, Home Owners Associations and the Homes themselves each have rules that must be respected. Home Rules are posted in the property and Condo Association and Home Owners Association Rules are posted around the controlled property they govern. Violations may warrant a fine that will be the renter's responsibility, and in some cases,failure to comply may resultin eviction. In the event of eviction, no refunds will be given for unused nights.

Liability. Host and the Owner(s) of the property cannot accept any liability for your personal safety during your vacation. It is particularly important that children are supervised at all times in and outside the vacation property. The Host and the property owner(s) assume no responsibility for accidents. You are reminded to exercise care as to your personal safety, and the safety of your companions. Whenever possible, valuables should be left secure and out of sight.

Hold Harmless. You agree to indemnify and save SeaTropez LLC and the property owner(s) harmless from all liability, loss or damage arising from any nuisance or harm made or suffered on the premises by you, your guests or from any carelessness, neglect, or improper conduct of any persons entering, occupying or visiting the premises. Sea Tropez, LLC and the property owner accept no responsibility or liability for any loss or damage or alteration to the terms of your reservation caused by events beyond our control, including but not restricted to war, terrorist activity, civil commotion, illness, flight delays, or cancellations, airport closures, loss of luggage, adverse weather conditions, fire flood, or industrial dispute. Sea Tropez, LLC and the property owner(s) cannot accept any liability for failure of public supplies such as water, electricity, Internet or breakdown of the air conditioning system. Nor for the consequences of the action or omissions of persons who may control or supply main services, or any actions taken in the vicinity of the property reserved, by any authority over which there is no control.

Piracy and Illegal Downloading. The illegal distribution of copyright material including unauthorized peer-to-peer file sharing on Sea Tropez owned, leased, operated or maintained networks may subject guests to civil and criminal penalties under federal law. Guests who violate Host’s policy with respect to copyright infringement and illegal downloading will be subject to immediate evictionand up to a $1,000 fine.

Good Neighbor. Please remember you are staying in someone's home during your vacation. Please treat it with care and leave it in good condition at check-out. In addition, please be aware of volume, trash, and parking in consideration of the local community. You and/or your guests shall not disturb, annoy, endanger, or inconvenience neighbors, nor use the premises for any immoral or unlawful purposes, nor violate any law or ordnance, nor commit waste or nuisance on or about the premises.

Illicit Drugs. You agree that any tenant or their guests who are found using drugs or allows others to use drugs on the premises will be immediately denied continued occupancy at these premises.

Swimming Pool and Hot Tub Usage - Release of Liability, Waiver of Claims, Express Assumption of Risk and Indemnity Agreement

1.In consideration for receiving access and/or permission to use any swimming pool, spa or hot tub (“Activity”) at your rental Property or otherwise made available to you as an amenity in conjunction with your rental by Host and the Owner(s) of your rental Property (“Owners”), you hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE, AND AGREE TO INDEMNIFY AND HOLD HARMLESS for any and all purposes Sea Tropez, LLC, Owners, and their respective officers, servants, agents, volunteers, or employees (herein collectively referred to as RELEASEES) FROM ANY AND ALL LIABILITIES, RESPONSIBILITIES, CLAIMS, DEMANDS, CAUSES OF ACTION OR INJURY, INCLUDING DEATH, that may be sustained by you or your guests or invitees while participating in such ACTIVITY, whether caused by RELEASEES’ active or passive negligence.

2.You agree that you are fully aware that there are inherent risks involved with ACTIVITY, including but not limited to possible physical injury (including, but not limited to broken bones, strains, sprains, bruises, concussions, heart attack, heat exhaustion) and loss of life and you choose to voluntarily participate in said ACTIVITY with full knowledge that said ACTIVITY may be hazardous to you, your guests, your invitees, and your property (“You”). YOU VOLUNTARILY ASSUME FULL RESPONSIBILITY FOR ANY RISKS OF LOSS, PROPERTY DAMAGE OR PERSONAL OR EMOTIONAL INJURY, INCLUDING DEATH, that may be sustained by You as a result of participating in said ACTIVITY, whether supervised or unsupervised. You further agree to indemnify and hold harmless the RELEASEES for any loss, liability, judgment, settlement, damage or costs, including court costs and attorney’s fees for both the trial and appellate levels that may occur as a result of or in any way related to Your participation in said ACTIVITY,whether caused by RELEASEES’ activeor passive negligence or otherwise.

3.You agree to be responsible for the day to day general safety conditions of any swimming pool and/or hot tub to use at your rental property. This includes, but is not limited to, keeping the swimming pool, spa and/or hot tub clean of debris, keeping the swimming pool, spa and/or hot tub areas clean, neat and organized, keeping all gates and doors locked and the swimming pool, spa and/or hot tub area secured at all times, and operating the swimming pool, spa and/or hot tub in a safe, responsible manner.

4.You understand that RELEASEES may not maintain any insurance policy covering any circumstance arising from your participation in this ACTIVITY or any event related to that participation. As such, you are awarethat you should review Your personal insurance coverage.

You hereby certify that you are at least 25 years of age and you are legally competent to enter into this Agreement, including the Release, Waiver, Assumption, and Indemnity provisions contained herein. You agree that it is your express intent that this release shall bind the members of your family and spouse if you are alive, and your heirs, assigns and personal representatives, if you are deceased, and shall be governed by the laws of the State of Florida.

Wristbands. A charge of $10 per wristband will be collected after checkout for any missing wristbands.

Notices. All notices required or permitted under this Agreement will be in writing and sent by certified mail, return receipt requested, by reputable oversight courier, by hand delivery, or by email. The notice address for Sea Tropez, LLC is MAIL – 742 W. Lamar Alexander PKWY, Maryville, TN 37801; EMAIL – info@seatropez.com. Any notice sent in the manner set forth above shall be deemed sufficiently given for all purposes hereunder (i) in the case of certified mail, on the third business day after deposited in the U.S. mail, (ii) in the case of overnight courier or hand delivery, upon delivery, and (iii) in the case of email the date of the email as evidenced by a delivery receipt.

Applicable Law. This Agreement shall be governed by, construed under, and enforced and interpreted in accordance with the laws of the State of Florida, excluding its principles of conflicts of laws.

Venue, Jurisdiction, and Attorneys’ Fees. The exclusive venue for any civil action related to this Agreement or the course of dealings betweenthe parties is the County and Circuit Courts sitting in Okaloosa County, FL. The parties hereby submit to the personal jurisdiction of all the courts in the previous sentence and agree not to challenge such jurisdiction. In any action, suit, or proceeding to enforce or interpret the terms of the Agreement or to collect any amount due hereunder, the prevailing party shall be entitled to reimbursement for all costs and expenses reasonably incurred in enforcing, defending or interpreting its rights hereunder, including, but not limited to, all attorneys’ fees and the costs expended in determining entitlement to an amount of such fees.

Waiver of Jury Trial. BY ENTERING INTO THIS AGREEMENT, THE PARTIES KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A JURY TRIAL AS TO ANY CLAIMS A PARTY MAY CLAIM TO HAVE AGAINST THE OTHER WHICH ARISES OUT OF THIS AGREEMENT OR THE COURSE OF DEALINGS BETWEEN THE PARTIES.

Force Majeure. Not withstanding any other provision of this Agreement, no party to the Agreement shall be deemed in default or breach of this Agreement or liable for any loss or damages or for any delay or failure in performance (except for the payment of money) due to any cause beyond the reasonable control of, and without fault or negligence by such party.

Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes any prior understanding, marketing or agreement among them respecting the subject matter hereof. There are no representations, arrangements, understandings or agreements, oral or written, relating to the subject matter of this Agreement, except those fully expressed herein. No waiver of any provision hereof shall be valid or binding on the parties hereto, unless such waiver is in writing and signed by or on behalf of the parties hereto, and no waiver on one occasion shall be deemed to be a waiver of the same or any other provision hereof in the future.

Indemnification of Host and Property Owner(s). Guest will defend, indemnify and hold Sea Tropez, LLC and the property owner(s) (including their members, officers, and employees), harmless from any and all claims, liabilities, losses, costs and expenses (including, but not limited to, reasonable attorneys’ fees and costs of suit) incurred by Host or the Property Owner(s) as a result of or arising out of the breach of this Agreement by guest, except to the extent such claims, demands, and actions arise from the negligence or willful misconduct of Host or the Property Owner(s). The indemnified party shall promptly notify the indemnifying party of any such claim and shall, at the request and expense of the indemnifying party, cooperate in the investigation and defense of such claim.

Severability. If any term or provision of this Agreement is held illegal, invalid or unenforceable, such illegality, invalidity or unenforceability shall not affect the legality, validity or enforceability of the remainder of this Agreement. Headings. Section and other headings contained in this Agreement are for reference purposes only and are in no way intended to define, interpret, describe or limit the scope, extent or intent of this Agreement or any provision hereof.
